End User License Agreement (EULA)

This End User License Agreement (“Agreement”) governs your use of software plugins and related products (“Product”) developed and distributed by Thomas Zagler, Italy (“Developer”, “we”, “us”).

By downloading, installing, or using the Product, you agree to this Agreement.

1. License Grant

1.1 The Developer grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the Product for your personal or internal business purposes in accordance with this Agreement.

1.2 The license is granted to one natural person (“Single-User License”).

You may install and activate the Product on multiple computers, provided that:

  • the Product is used only by you, and

  • it is not used simultaneously by different individuals.

1.3 If the Product is used by more than one person, a separate license must be purchased for each user.

2. License Model

2.1 Unless otherwise stated, the Product is licensed under a perpetual license model. This means you may use the version purchased indefinitely.

2.2 Updates and upgrades may require the purchase of a new license unless explicitly stated otherwise.

2.3 The license is linked to the email address provided at the time of purchase and to the Adobe account used during the first activation of the Product. The Product may only be used while logged into that Adobe account.

3. Restrictions

You may not:

  • Copy, modify, adapt, translate, or create derivative works of the Product

  • Reverse engineer, decompile, or disassemble the Product except where expressly permitted by applicable law

  • Rent, lease, sublicense, distribute, or make the Product available to third parties

  • Share license credentials or activation access with others

4. Intellectual Property

The Product, including all code, design, trademarks, and related materials, remains the exclusive property of the Developer.

This Agreement grants a license to use the Product — it does not transfer ownership.

5. Payments and Distribution

5.1 Payments may be processed via third-party providers such as FastSpring or via online marketplaces (e.g., Adobe Exchange).

5.2 Such providers act as independent payment processors or distribution platforms. The Developer is not responsible for their services, policies, or technical systems.

5.3 Your purchase may also be subject to the terms of the respective marketplace platform.

6. Right of Withdrawal (EU Consumers)

If you are a consumer residing in the European Union:

6.1 You have a statutory right of withdrawal within 14 days of purchase.

6.2 However, if you expressly consent to immediate delivery of the digital Product and acknowledge that you thereby lose your right of withdrawal, the right of withdrawal expires once the download or activation begins, in accordance with Article 16(m) of Directive 2011/83/EU.

7. Warranty and Liability

7.1 The Product is provided “as is”. The Developer does not guarantee that the Product will be error-free or uninterrupted.

7.2 Nothing in this Agreement excludes or limits liability where such limitation is not permitted under applicable law, including liability for:

  • Intentional misconduct

  • Gross negligence

  • Personal injury

  • Mandatory statutory consumer rights

7.3 To the maximum extent permitted by law, the Developer’s total liability arising out of or in connection with the Product shall be limited to the amount paid for the Product.

7.4 The Developer is not liable for:

  • Loss of profits

  • Loss of data

  • Business interruption

  • Indirect or consequential damages

You are responsible for maintaining appropriate backups of your data.

8. Updates and Modifications

8.1 The Developer may update or improve the Product at any time.

8.2 This Agreement may be updated for future purchases. The version applicable to you is the one in force at the time of your purchase.

9. Termination

This license automatically terminates if you breach this Agreement.

Upon termination, you must cease using and delete all copies of the Product.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of the Republic of Italy.

If you are a consumer residing in the European Union, mandatory consumer protection laws of your country of residence remain unaffected.

The competent courts of Italy shall have jurisdiction unless mandatory consumer protection rules provide otherwise.

11. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
